SOFTWARE LICENSE AGREEMENT - MediaEditor.eu

This Software License Agreement ("Agreement") is entered into between:

Licensor: Marcin Dębicki, conducting business in Kraków, Poland, hereinafter referred to as the “Licensor”;
Licensee: Any individual or legal entity who downloads, installs, uses, or otherwise accesses the Software, hereinafter referred to as the “Licensee”.

1. Subject of the Agreement

1.1. The subject of this Agreement is the granting of a license by the Licensor to use the MediaEditor.eu software (“Software”).

1.2. The Software is protected by copyright and other intellectual property laws.

2. Grant of License

2.1. The Licensor grants the Licensee a non-exclusive, non-transferable, limited license to install and use the Software on devices owned by the Licensee, strictly in accordance with the terms of this Agreement.

2.2. The license does not include the right to:

- sublicense,
- modify,
- decompile,
- reverse-engineer,
- create derivative works,
- distribute the Software.

2.3. The Licensee agrees not to attempt to circumvent any technical protections embedded in the Software.

3. Rights and Obligations of the Licensee

3.1. The Licensee agrees to:

- use the Software in compliance with applicable laws,
- not remove intellectual property notices,
- not share the Software with third parties.

3.2. The Licensor reserves the right to conduct an audit of the Licensee’s use of the Software to ensure compliance with this Agreement, upon prior written notice.

4. License Restrictions

4.1. The Licensor reserves all rights not expressly granted to the Licensee.

4.2. Any breach of the license terms will result in immediate termination of the license without further notice.

4.3. Commercial Use Prohibited: The Licensee may not use the Software for commercial purposes without obtaining separate written consent from the Licensor.

5. Limitation of Liability

5.1. The Software is provided “as is,” without any express or implied warranties.

5.2. The Licensor shall not be liable for:

- data loss,
- property or non-property damages,
- service interruptions,
- incompatibility with other software or hardware.

5.3. The Licensor’s total liability to the Licensee shall be limited to the amount actually paid for the license.

6. Term and Termination

6.1. This Agreement is effective upon installation of the Software and remains in force until terminated.

6.2. The Licensee may terminate the Agreement at any time by deleting all copies of the Software.

6.3. The Licensor may terminate the Agreement immediately in the event of a breach of its terms.

7. Shareware Distribution Model

7.1. The Software is provided under a shareware model – full functionality is available free of charge for a trial period of [e.g. 14, 30] days.

7.2. After the trial period, continued use of the Software requires payment of a license fee.

7.3. Failure to pay will result in automatic termination of the license.

8. Updates and Technical Support

8.1. The Licensor may provide updates to the Software at its sole discretion.

8.2. The Licensee is not entitled to free technical support unless explicitly stated by the Licensor.

9. Final Provisions

9.1. This Agreement shall be governed by the laws of the Republic of Poland.

9.2. Any disputes shall be resolved by the court having jurisdiction over the Licensor’s registered office.

9.3. The invalidity of any provision shall not affect the validity of the remaining provisions.

9.4. This Agreement constitutes the entire understanding between the parties.
